Benj.} togers, occupied tne chair and there was @ representative attendance of members of the Association. After a brief opening address by the chairman, the directors’ report was read by the secretary, Hon. A. B. Warburton. The report reads as fol- lows :

2. For the past eight years there has been a steady decrease in the receipts. The expenditure generally speaking cannot be lessened; while in some in- | stances it is necessarily increased.

3. One of the causes ofthis falling eff is undoubtedly owing tothe fact that our annual gathering although cal- led a Provincial Exhibition is larzely made a County one by reason of the being held ator about the same time.

4. 1f the evident result of having the several County Exhibitions is to paral- ize and eventually prevent the success- ful bolding of a Provincial Exhibition, is it not time that the situation be fairly faced? So far as this Board is concern- mature consideration doubt the advisibility of holding another Exhibition unless under different con. ditions. 5. ‘The total balance of profits last year as Shown by the statement now in the hands of the shareholders is $304 .- 43 although ihe expenditure was re- duced tothe lowest possible amount, and lower thanany previous year, as can be seen by comparison with the former years.

6. In this connection there is anoth- er matter of importance which the Directors desire to bring to the notice of the stockholders namely, that up to the present time the people of this province have had t§e advantage of exhibiting at the Maritime Exhibition held at Stu John and Halifax although our Exhibitions have been closed to the people of the neighbeuring provinces. This we understand cannot continue Jonger, as the determination now is to close against us unless we open to; them.

7. The recommendation of the Board is, thatthe next Exhibition be a Mari- time one and the only Exhibition held in the province. We believe that this would be greatly in the interests of stock raisers and Exhibitors of all ‘lasses. The educative advantages of xhibitions properly conducted are now apparent to all. Only Exhibits of the first class and of the highest grade of development can at such Exhibitions receive prizes and encouragement.

8. Inthe event of holding such Exhibition here it would be necessary to put Exhibitors from the outlaying counties upon an equal footing with Exhibitors resident in this county. This could be done by defraying the additional costs of transit of all Exhi- bits from King’s and Prince counties. This we would recommend.

We are of opinion that a successful Maritime Exhibition could be held here should the Government give the entire grant now given for Exhibitions in this

province ani a further sum towards the erection of additional buildings

(which unquestionably would be required ).

10. Our attention fer some time past hes been called to the advisibility of separating the race ground from the Exhibition buildings. We think -the time has arrived to do this. This ehange would enable parties desiring to visit the Exhibition alone to do so for 25 cents ;an additional 25 cents being charged to those wishing to see the races as well. Such a change would be necessary in the holding of a Mari- time Exhibition.

The report was read clause by clause, and, after some discussions, adopted.

The following resolution was then moved by Mr. P. Blake, seconded by Mr. F. H. Beer:

Resolved, That it is the opinion of this meeting that a maritime exhibition would be a great benefit to this province, and that the incoming Board of Directors be auth- orized to make such an arrangement with the Government as wiil enable such an exhibition to be effectively carried out; but before any fina! arrangements be made a meeting of this Association be called to consider any proposition the Board may have \o propose.

This resolution was unanimously a lopted.

Mr. S.W. Crabbe then presented @ memorial from Mr. Archibald Macneili asking that he be appointed seeretary of the Asrociation in succession to Hon. A. B. Warburton, wno is to retire. The memorial was sigued by eighty-four of the shareholders, and was handed over te Mr. Rogers, who promised to place it in the hands of the new Board of Directors for their consideration when choosing @ secre- tary.

The election of a new Board of Directors was then proceeded with. The election was by ballot, and Messrs. H. W. Long« worth, Geo. W. Wakefield, Capt Thomas G. Taylor, sed Harrison Carvell, were appointed tellers. The following directors were elected: E. R. Brow, F. L. Haezard, J.J. Davies, ©. C. Gardiner, Hector Mc- Leod, Judge Fitzgerald and F. A. Beer. Before the voting began, Hon. Mr. Rogers and Mr. Blake declined to stand for election as directors,

Votes of thanks were then tendered the president and secretary, and the valuable services they had rendered{during the years they had filled the respective offices was referred to. Hon. Mr. Rogers and Hon. Mr. Warburton each acknowledged the vote in fitting terms, and “He's a Jolly Good Fellow” was sung by the .sbares holders.

The meeting then adjourned.

FixcereIxsunep.—We hear with re- gretthat Mr. Herbert Vanideretine, em- ployed in McKie’s carriage factory, bad his left hand caught in acircular saw a day or two ago, causing severe injuries to the four fingers. Dr. Jenkins is in attendance. Mr. Vanlderstine isa son of Mr. Robert Vanlderstine, City Collector.

The Srantey.—Advices from George town today report the Stanley in the ice seven miles from that port, and that the freight coming by her is being landed by teams. It will take two days to unload her. The passengers lanied last night aud most of them came through to Charloitetown this morning. It is thought that it will be impossihle to get away from Georgetown before Monday. The ice atthe mouth of the harbor is said to be very thick.

Y.M.C.A—Some changes are been maae in the interior arrangement of the Y. M. C. A., that are deserving of notice. .The large hall on the upper floor which has been need as agymoasium and bath room for some time past, has been converted into a public hall, having the stage on the street side of the building instead of im the rear where it was placed before the gym- nasium wae putin. The room has also been painted, tinted and papered, the Auer light tas been put in aud it is now one of the finest halle for entertainments, teas,

etc, in the city. The gymnasium has been removed to the room in the basement underneath the

reading room, and the three shower baths have been placed ins room near by. The reading room has also been painted and papered, and fitted with the Auer light. The boys room in the basement has also been treated by the painter and paper-banger and made more «ttractive. This room is free to the boys of the city and is well patronized, In it there is an organ and other musical instruments, parlour croquet,checkere, ete., and tie intellectual appetite is also catered to. All the altera- tions referred to have not been completed, but it is expected that everything will be finished very soon.
